Terms and Conditions

1. Subject Matter
These Terms and Conditions govern the sale of software modules for the Magento 2 platform (hereinafter «Modules») and the provision of technical and strategic consulting services (hereinafter «Services») by MAG UCP (hereinafter «Provider») to the customer (hereinafter «Customer»).
Purchasing or using a Module, or requesting a Service, implies full acceptance of these Terms.
2. Software Modules – Licence
The Provider grants the Customer a non-exclusive, non-transferable, perpetual licence to install and use the purchased Module on a single Magento 2 website owned or controlled by the Customer, unless otherwise agreed in writing.
- Updates: Module updates are included for the support period stated at the time of purchase (typically 12 months from purchase date). After this period, updates are available at preferential rates.
- Restrictions: reselling, sublicensing, distributing, or publishing the Module's source code to third parties is prohibited without prior written authorisation from the Provider.
- Multi-site: use on multiple websites requires the purchase of additional licences.
3. Consulting Services
Consulting Services (analysis, configuration, custom development, training) are delivered in accordance with the agreed offer or signed quote. In the absence of a specific written agreement, the following standard conditions apply:
- Hourly rate: communicated to the Customer before work commences.
- Time estimates: duration estimates are indicative and do not constitute a fixed contractual commitment unless a fixed-price agreement is in place.
- Approval: significant deliverables are submitted for Customer approval before production deployment.
4. Pricing and Payment
Prices for Modules and Services are those stated in the commercial offer or on the website at the time of order, exclusive of applicable VAT or taxes.
- Modules: full payment is due before the licence and source code are released.
- Consulting: unless otherwise agreed, payment is due within 30 days of the invoice date. For projects exceeding €5,000, a 30% deposit is required upon order.
- Late payment: overdue amounts accrue interest in accordance with applicable law.
5. Warranty and Support
The Provider warrants that the Modules will function as described in the official documentation at the time of purchase. Defects reported within 30 days of delivery will be remedied at no additional charge.
The warranty does not cover malfunctions caused by: modifications made by the Customer or third parties to the Module code, Magento updates not supported by the purchased version, conflicts with third-party modules, or incorrect configuration.
Standard technical support is provided by email at magentoucp@gmail.com with an indicative response time of 2 business days.
6. Intellectual Property
The Provider retains exclusive ownership of all intellectual property rights in the Modules, including source code, documentation, graphics, and names. The Customer acquires only the right to use the Modules within the scope of the licence granted.
Deliverables produced under consulting Services become the Customer's property upon full payment, subject to the Provider's right to reuse generic components and proprietary libraries.
7. Limitation of Liability
The Provider shall not be liable for indirect damages, loss of profit, loss of data, or business interruption arising from the use or inability to use the Modules or Services.
The Provider's total liability, for any cause, is in any case limited to the amount actually paid by the Customer for the Module or Service that gave rise to the damage.
8. Withdrawal and Termination
Modules: given the digital nature of the product, the consumer right of withdrawal does not apply once the Module has been downloaded or activated. Prior to download, a refund may be requested within 14 days of purchase.
Consulting: the Customer may withdraw with 15 days' written notice; fees for work completed up to the effective withdrawal date remain payable.
The Provider may terminate the agreement with immediate effect in the event of payment default exceeding 60 days or breach of licence restrictions.
9. Confidentiality
Each party undertakes to keep confidential all technical, commercial, and organisational information received from the other party in connection with the contractual relationship, and not to disclose it to third parties without prior written consent, for the duration of the contract and for 3 years thereafter.
10. Governing Law and Jurisdiction
These Terms are governed by Italian law. Any dispute arising from the interpretation or performance of these Terms shall be subject to the exclusive jurisdiction of the Court of Trieste (Italy), unless otherwise agreed in writing.
11. Amendments
The Provider reserves the right to update these Terms by publishing the new version on this page with an updated date. Amendments apply to contracts entered into after their publication.
